Merchant Partner Agreement
Merchant Partner Terms for the Elämyskauppa.fi service
Effective from: 1 August 2026
These Merchant Partner Terms govern the cooperation between Suomen elämykset Oy (Business ID 3612111-1, hereinafter "Service Provider") and the business or entrepreneur joining the Elämyskauppa.fi service ("Merchant Partner"). The Merchant Partner accepts these terms upon registration in the Service or otherwise accepting the cooperation. The general terms of use and purchase of the Service apply to customers, gift cards and their use. These Merchant Partner Terms apply to the relationship between the Service Provider and the Merchant Partner. In case of conflict between the terms regarding the mutual rights or obligations of the parties, these Merchant Partner Terms shall prevail.
1. Status and Responsibilities of the Merchant Partner
The Service Provider operates the Elämyskauppa.fi service and facilitates the sale of gift cards entitling customers to the Merchant Partner's services. The Merchant Partner operates as an independent business and bears sole responsibility for delivering its own services. The Merchant Partner is specifically responsible for: the content, quality and safety of the service; its personnel and the equipment it uses; necessary permits, insurance and qualifications; the prices of its services and the accuracy of information provided; its own taxes and other statutory obligations; and damages caused by its services or operations. The Service Provider is not liable for damages caused by the Merchant Partner's actions, negligence, personnel, equipment or service delivery, unless mandatory legislation provides otherwise.
2. Services and Service-Specific Terms
The Merchant Partner agrees to accept valid gift cards sold through the Service for its services in accordance with their terms. The Merchant Partner is responsible for ensuring that the prices, descriptions, contact details, material participation terms and other information provided to customers are correct and up to date. The Merchant Partner must notify the Service Provider of any material changes without undue delay. When a customer books or uses an experience, the Merchant Partner's own booking, cancellation, safety and participation terms apply as a default. The Merchant Partner is responsible for ensuring that material terms are communicated to the customer appropriately. The Merchant Partner may not impose on gift card users any material additional charges or restrictions that have not been communicated to the customer in advance.
3. Pricing and Service Fee
The Merchant Partner sets the normal prices for its services. Unless otherwise agreed in writing, the Service Provider's service fee is 20% of the gift card's selling price. The Service Provider deducts its service fee before making the settlement to the Merchant Partner. The parties may agree in writing on a different service fee for a specific company or service. The Service Provider has the right to change the service fee by notifying at least two (2) months in advance.
4. Campaigns and Discounts
The Service Provider has the right to implement marketing campaigns and discounts without separate approval from the Merchant Partner, if the cost of the campaign is deducted entirely from the Service Provider's own service fee. If a campaign reduces the share payable to the Merchant Partner, this is always agreed separately with the Merchant Partner. Discounts implemented by the Merchant Partner itself do not reduce the Service Provider's agreed percentage service fee.
5. Payments and Settlements
The Service Provider receives the customer's payment at the time of gift card purchase. Unless otherwise agreed in writing, the Merchant Partner's share is settled only after the gift card has been redeemed and the service has been delivered to the customer. Settlements are made once a month on the last business day of the month to the bank account provided by the Merchant Partner. The Service Provider has the right to request confirmation of service delivery before settlement if there is a suspicion regarding the delivery of the service. The Service Provider may withhold or delay settlement if the completion of the service is unclear, if there is a complaint or refund associated with the gift card, if fraud is suspected, or if the Merchant Partner has breached these terms.
6. Refunds, Complaints and Compensation
The Merchant Partner accepts the gift card refund and exchange rights granted to customers under the general terms of use and purchase of the Service. If the payment due to the customer is still held by the Service Provider, the Service Provider is responsible for processing the refund to the customer and the amount will not be settled to the Merchant Partner. If the payment has already been settled to the Merchant Partner, the Merchant Partner's own terms and mandatory legislation apply as a default to customer refunds, cancellations, booking transfers and other similar changes. The Merchant Partner is then also responsible for any amounts to be refunded to the customer and other compensation due under its terms or law. The Merchant Partner is responsible for complaints, compensation and indemnification arising from errors, cancellations, non-delivery, negligence or other reasons attributable to the Merchant Partner. Mere customer dissatisfaction with the service or the customer's subjective experience thereof does not, however, constitute grounds for compensation if the service has been delivered as agreed and corresponded to the information and terms provided to the customer at the time of purchase. A customer complaint alone does not prevent settlement to the Merchant Partner. If, however, there is reasonable cause based on the complaint to suspect a service error, cancellation, non-delivery or other matter attributable to the Merchant Partner that may affect the amount to be settled to the Merchant Partner, the Service Provider may withhold the relevant settlement or the necessary portion thereof pending resolution of the matter. If the Service Provider is required to refund funds to the customer or pay compensation for a reason attributable to the Merchant Partner after the relevant amount has already been settled to the Merchant Partner, the Service Provider has the right to deduct the amount attributable to the Merchant Partner from future settlements or recover it from the Merchant Partner separately. If the Merchant Partner is unable to deliver the service purchased by the customer, it must notify the Service Provider and the customer without delay and shall primarily seek to offer a new date or equivalent service. Mandatory legislation always takes precedence.
7. Gift Card Exchange and Expiry Without Use
If a customer exchanges the gift card for another Merchant Partner's service, the original Merchant Partner has no right to settlement. Settlement belongs to the Merchant Partner whose service is ultimately delivered. If a gift card expires without being used, the revenue from the expired gift card belongs to the Service Provider.
8. Marketing and Use of Materials
The Merchant Partner grants the Service Provider a free-of-charge right to use names, logos, images, videos, service descriptions and other material submitted by or made available for the Service by the Merchant Partner in operating and marketing the Service. The material may be used for example on the Service's website, social media, newsletters, search engines, paid advertising and other marketing channels used by the Service Provider. The Service Provider has the right to crop, edit, proofread, condense and modify the material and service descriptions to improve visibility, readability, search engine optimisation, marketing and sales. Edits must not substantially change the content of the service offered to the customer. The Merchant Partner is responsible for ensuring it has the right to submit the materials and the necessary permissions for their use, including consent from persons featured in the material where required.
9. Service Visibility and Data
The Service Provider does not guarantee the Merchant Partner or its services any specific visibility, ranking, customer volume or sales volume. The visibility of services may be affected by, for example, customer searches and filters, the relevance of the service, the content and currency of the listing, and promotional and marketing highlights made by the Service Provider. The Service Provider has access to data necessary for the operation, payments, gift cards, customer service, analytics and development of the Service. The Merchant Partner has access to customer and gift card data necessary for delivering its own service. Data may only be used for lawful purposes and the specific purpose for which it was provided.
10. Restricting the Service and Terminating the Agreement
The Agreement is valid until further notice. Either party may terminate the Agreement in writing with 30 days' notice. The Service Provider has the right to hide or remove an individual service, for example when information is incorrect, when there is a justified suspicion about the safety or lawfulness of the service, when the Merchant Partner breaches these terms, or when significant harm may be caused to customers. The Service Provider will inform the Merchant Partner of the material reason for restriction or removal, unless notification is prevented by law or another mandatory reason. The Service Provider has the right to terminate the Agreement immediately if the Merchant Partner, for example, acts unlawfully, commits a serious or repeated breach of contract, causes a material safety risk or engages in fraudulent activity. The expiry of the Agreement does not in principle release the Merchant Partner from obligations related to already sold gift cards.
11. Limitation of Liability
The Service Provider does not guarantee the Merchant Partner any specific customer volume, sales, turnover or other commercial result. The Service Provider is not liable for the Merchant Partner's indirect damages, lost profits, or technical disruptions and third-party actions that the Service Provider could not reasonably have prevented. The Service Provider's limitations of liability do not apply to the extent that limitation of liability is not permitted by law.
12. Amendment of Terms
The Service Provider has the right to amend these terms. The Merchant Partner will be notified electronically of material changes at least 15 days before they take effect. A longer notice period will be given if the change reasonably requires significant technical or commercial changes from the Merchant Partner. However, the two-month notice period referred to in section 3 applies to changes to the service fee. The notice period need not be observed if an immediate change is necessary due to, for example, law, a regulatory requirement, fraud prevention or information security. If the Merchant Partner does not accept a material change, it may terminate the Agreement before the change takes effect.
13. Confidentiality and Dispute Resolution
The parties agree to keep confidential any non-public information received from the other party concerning business, pricing, customers and the contractual relationship. The confidentiality obligation continues after the termination of the Agreement. Finnish law applies to this Agreement. Disputes shall be resolved primarily through negotiation. If no resolution is reached, the matter shall be settled in the competent district court at the Service Provider's domicile.
14. Right to Use Marketing Materials
If the Merchant Partner submits images, videos or other marketing material to the Service Provider, or grants the Service Provider permission to photograph the Merchant Partner's services, premises, personnel or experiences, the Service Provider has the right to use such material free of charge in marketing and promoting the Service. The Service Provider may use the material for example: on its own website and social media channels; in paid advertising; in newsletters and other digital marketing; in the channels of partners, influencers or other marketing partners as part of marketing the Service or the Merchant Partner's services. The Service Provider has the right to cut, crop, edit, subtitle and otherwise modify the material for marketing use, provided the material is not used in a way that substantially misrepresents the Merchant Partner's service or operations. The Merchant Partner is responsible for ensuring it has the right to provide the material to the Service Provider and the necessary permissions from persons featured in the material.
